Affiliate Terms & Conditions

Speaking to Profits / Orly Amor

This Affiliate Agreement (“Agreement”) is entered into by and between the undersigned affiliate (“Affiliate”) and Orly Amor, including Speaking to Profits and any related brands, programs, events, or entities (collectively referred to as “Company”).

This Agreement governs Affiliate’s participation in the Speaking to Profits Affiliate Program (“Affiliate Program”).

By enrolling in or participating in the Affiliate Program, Affiliate acknowledges that they have read, understood, and agreed to be bound by all terms and conditions contained herein. Affiliate further agrees that continued participation in the Affiliate Program following any modification or update to this Agreement—whether posted on a Company website, communicated via email, or otherwise conveyed—constitutes acceptance of such changes.

Purpose of the Agreement

The Company provides public speaking trainings, educational programs, events, consulting services, digital products, and related offerings. Affiliate desires to refer potential customers to the Company in exchange for affiliate commissions as described herein.

Affiliate represents and warrants that they are legally permitted to enter into this Agreement and are not participating for any improper or unlawful purpose.

Referrals

“Referrals” are defined as prospective customers who are directed to the Company through Affiliate’s unique affiliate tracking link (“Tracking Link”) provided by the Company.

  • Tracking Links operate on a last-click, last-credit basis

  • Cookies remain active for sixty (60) days

  • Affiliates may not purchase Company products or services using their own Tracking Link

  • Referrals not tracked within the cookie window are not eligible for commission

Referral Activities & Promotional Conduct

Affiliate agrees not to promote Company offerings in any manner that:

  • Contains sexually explicit, violent, defamatory, or discriminatory material

  • Promotes illegal activity or targets children under age 13

  • Violates the CAN-SPAM Act, FTC guidelines, or any applicable law

  • Misrepresents Company offerings or creates misleading claims

  • Damages the reputation of Orly Amor, Speaking to Profits, or related brands

  • Infringes upon intellectual property, privacy, or publicity rights

Affiliate agrees to use only truthful, ethical, and commercially reasonable promotional practices.

Referral Fees & Commissions

“Referral Fees” are defined as the gross revenue actually received by the Company from Referrals for qualifying purchases.

Commission Structure

Commission percentages and eligible offerings will be disclosed within the Affiliate Program dashboard or written communications and may include, but are not limited to:

  • Public speaking programs

  • Courses and digital products

  • Events, workshops, or trainings

Commissions:

  • Are paid after the applicable refund period

  • Are not paid on refunded, canceled, or unprocessed transactions

  • For payment plans or recurring products, commissions are paid as payments are received

Commission Payments

  • Commissions are calculated monthly

  • Payments are issued between the 10th and 20th of the following month

  • Payments are made via PayPal to the email address on file

  • A $50 USD minimum payout threshold applies

If the minimum is not met, commissions will roll over until the threshold is reached.

Term & Termination

This Agreement begins upon Affiliate enrollment and continues until terminated.

Either party may terminate this Agreement at any time, with or without cause, by written notice. Upon termination:

  • Affiliate will no longer earn commissions on new referrals

  • The Company will continue to pay commissions earned from referrals prior to termination, subject to this Agreement

Accounting & Reporting

Affiliate may access reporting tools provided by the Company (when available) to view referral activity, commissions earned, and payment history, subject to system availability.

Independent Contractor Status

Affiliate is an independent contractor, not an employee, partner, or agent of the Company.

Affiliate is solely responsible for:

  • All applicable taxes

  • Insurance requirements

  • Compliance with applicable laws

Affiliate agrees to indemnify and hold the Company harmless from claims arising from Affiliate’s failure to meet these obligations.

No Partnership or Joint Venture

Nothing in this Agreement creates a partnership, joint venture, agency, franchise, or employment relationship. Affiliate may not bind or obligate the Company in any manner.

Relationship Disclosure

Affiliate may not represent themselves as an employee or official representative of the Company.

Affiliate must clearly disclose their affiliate relationship in accordance with FTC guidelines and all applicable laws.

Warranties & Disclaimers

Affiliate represents that they will not violate any laws or third-party rights in connection with their promotional activities.

The Company makes no guarantees or warranties regarding earnings, conversions, or success.

Indemnification

Affiliate agrees to indemnify and hold harmless the Company from all claims, damages, losses, or expenses arising from Affiliate’s breach of this Agreement or promotional activities.

Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of this Agreement.

Limited License

Affiliate is granted a limited, non-exclusive, revocable license to use Company-approved marketing materials solely for promoting Company offerings.

  • Materials may not be altered without written permission

  • License terminates immediately upon termination of this Agreement

  • No ownership rights are transferred

Contact Information & Notices

Affiliate is responsible for maintaining accurate contact and payment information.

All notices may be delivered electronically to the email address on file.

No Waiver

No waiver or modification of this Agreement is valid unless made in writing and signed by the Company.

Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements.

Assignment

Affiliate may not assign this Agreement without prior written consent from the Company.

Governing Law & Arbitration

This Agreement shall be governed by the laws of the State of Wyoming.

Any dispute arising from this Agreement shall be resolved exclusively through binding arbitration administered by the American Arbitration Association in Sheridan County, Wyoming.

Affiliate waives the right to pursue claims in court or participate in class actions.

Severability

If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.

Acknowledgment & Digital Signature

By submitting an affiliate application or participating in the Affiliate Program, Affiliate:

  • Acknowledges review of this Agreement

  • Consents to its terms

  • Agrees that digital submission constitutes a valid and binding signature
